1. Definitions

In these Terms of Service:

  • "Service" means the AnzenOT platform, including all software, applications, features, and services provided by AnzenOT.
  • "Company," "we," "us," or "our" refers to AnzenOT and its affiliates.
  • "User," "you," or "your" refers to the individual or entity accessing or using the Service.
  • "Customer Data" means any data, information, or content that you upload, submit, or transmit through the Service.
  • "Subscription" means the paid access to the Service under a specific plan (Basic, Professional, or Enterprise).
  • "Organization" means the company or entity on whose behalf you are using the Service.

2. Acceptance of Terms

By creating an account, accessing, or using the AnzenOT Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Service Description

AnzenOT is a cybersecurity risk assessment platform designed for Operational Technology (OT) and Industrial Control Systems (ICS) environments. The Service provides:

  • Facility risk profiling and assessment
  • Cyber-physical risk scenario analysis
  • Quantitative risk analysis (QRAW)
  • Compliance mapping and reporting
  • Security recommendations and playbooks
  • Executive reporting and dashboards

The Service is provided on a software-as-a-service (SaaS) basis and is accessible via web browsers at designated URLs.

4. User Accounts

4.1 Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You agree to:

  • Use strong, unique passwords for your account
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Not share your account credentials with others

4.3 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

4.4 Company Information Verification

For Business plans (Basic and Professional subscriptions), you must provide accurate company information during registration, including your legitimate company or organization name. You represent and warrant that:

  • The company name you provide is the actual legal name of an existing organization
  • You are authorized to register on behalf of that organization
  • The business email address you use corresponds to your organization's domain
Important: AnzenOT reserves the right to verify company information at any time. Accounts found to have provided false, fictitious, or non-existent company names will be terminated immediately without refund. This policy exists to maintain the integrity of our platform and protect our business customers.

5. Subscriptions and Payments

5.1 Subscription Plans

The Service is offered under various subscription plans (Basic, Professional, Enterprise) with different features, limits, and pricing. Current pricing and features are available on our website.

5.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of access

5.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel through your account settings or by contacting support.

5.4 Taxes

You are responsible for all applicable taxes. Prices displayed may not include VAT, GST, or other taxes, which will be added where required.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any systems or networks
  • Interfere with or disrupt the integrity of the Service
  • Upload malicious code, viruses, or harmful content
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to conduct actual cyberattacks
  • Share access credentials or allow unauthorized users
  • Exceed your subscription's usage limits through automation or other means
  • Use the Service in violation of export control laws
Security Research: AnzenOT is designed for defensive security purposes only. The Service must not be used to plan, execute, or facilitate actual cyberattacks against any systems.

7. Intellectual Property

7.1 Our Rights

The Service, including all software, content, features, and documentation, is owned by AnzenOT and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

7.2 Your Rights

You retain all rights to your Customer Data. By using the Service, you grant us a license to process your data solely for providing the Service to you.

7.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to compensate you.

8. Data Protection

8.1 Data Processing

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

8.2 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission or storage is 100% secure.

8.3 Data Location

Your data may be processed in various jurisdictions. We ensure appropriate safeguards are in place for international data transfers.

8.4 Data Retention

We retain your data for the duration of your subscription and for a reasonable period thereafter, unless you request deletion or longer retention is required by law.

10. Warranties and Disclaimers

We warrant that the Service will perform substantially in accordance with its documentation during your subscription term.

10.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • All security vulnerabilities will be identified
  • Risk assessments will prevent all security incidents
  • The Service will meet all your specific requirements
Important: AnzenOT provides risk assessment tools and information to assist with security decisions. The Service does not guarantee complete security and should be used as part of a comprehensive security program.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless AnzenOT and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Customer Data

13. Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your access if:

  • You breach these Terms
  • Payment is overdue
  • Required by law
  • Your use poses a security risk

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • You may request export of your data within 30 days
  • We may delete your data after a reasonable retention period
  • Provisions that should survive termination will remain in effect

14. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by the laws of the jurisdiction in which AnzenOT is incorporated, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.
